1. Master Services Agreement & Scope of Work
These Terms of Service govern the preliminary scoping, technical evaluation, and professional services provided by Zentobyte. Formal development, Dedicated Pod, and Staff Augmentation engagements are executed pursuant to a bilateral Master Services Agreement (MSA) and detailed Statement of Work (SOW) setting forth specific deliverables, sprint schedules, and milestone compensation.
2. Full Intellectual Property Assignment
Subject to complete milestone payment in accordance with the applicable SOW, all source code, database architectures, documentation, API specifications, and design assets developed specifically for the client are irrevocably assigned to the client. Zentobyte retains no residual proprietary claim over custom client deliverables.
3. Warranty & Defect Remediation
Unless otherwise specified in an SOW, custom software engineering deliverables are backed by a complimentary 30-day post-launch warranty period during which Zentobyte remedies reproducible functional bugs and performance regressions at zero additional charge.
4. Governing Law & Jurisdiction
These terms and any bilateral engagement agreements entered into with Zentobyte are governed by and construed in accordance with applicable commercial contracts and bilateral enterprise service agreements.
